Terms of Service

1. Introduction

These terms govern any proposal, quote or project agreed between Webforge Digital UK ("we", "us", "our"), a website development and AI automation studio based in Liverpool, United Kingdom, and the client commissioning our services ("you", "client"). By instructing us to begin work, you agree to these terms.

2. Our services

We provide custom website development and AI automation services, including but not limited to website design and build, integrations, and workflow automation, as set out in the specific proposal agreed with you for your project.

3. Proposals & quotes

Every project begins with a fixed-price proposal outlining scope, deliverables and timeline. Quotes are valid for 30 days from the date issued unless stated otherwise. Work begins once the proposal is signed and any required deposit is received.

4. Payment terms

Unless otherwise agreed in writing, projects require a non-refundable deposit before work begins, with the balance due on completion and before final handover of files or credentials. Late payments may result in paused work and, on invoices more than 14 days overdue, may accrue interest at the statutory rate.

5. Revisions & scope changes

Each proposal includes an agreed number of revision rounds at defined checkpoints. Requests that fall outside the agreed scope — new pages, additional features, or a change of direction after work has started — will be quoted and agreed separately before we proceed.

6. Project timelines

Timelines quoted in a proposal are estimates based on the agreed scope and on receiving your feedback, content and approvals promptly. Delays in providing materials or sign-off may extend the delivery date accordingly.

7. Client responsibilities

You are responsible for providing accurate project information, timely feedback, and any content, branding or credentials needed to complete the work, and for ensuring you have the right to use any material you supply to us.

8. Intellectual property

Ownership of the final deliverables — code, design files and content created specifically for your project — transfers to you upon full and final payment. We retain the right to reuse general know-how, frameworks and non-proprietary components developed during the project, and may showcase completed work in our portfolio unless you request otherwise in writing.

9. Third-party tools & integrations

Projects may rely on third-party platforms (hosting, domain registrars, CRMs, payment processors, AI providers, and similar services). Any subscription or usage fees for these services are your responsibility, and their availability and terms are outside our control.

10. Warranties & disclaimers

We aim to deliver work of a high professional standard and will correct any genuine defects reported within the post-launch support window stated in your proposal. Beyond that window, our services are provided "as is", and we make no guarantee of specific business outcomes such as traffic, rankings or revenue.

11. Limitation of liability

To the fullest extent permitted by law, our total liability arising from any project is limited to the fees paid for that project. We are not liable for indirect or consequential losses, including loss of profits, data or business opportunity.

12. Termination

Either party may terminate a project in writing if the other is in material breach of these terms and fails to remedy it within a reasonable period. If you terminate without cause, fees for work completed up to that point remain payable.

13. Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
